Superstate, a firm specializing in blockchain financial technologies, has introduced a groundbreaking platform that allows U.S. Securities and Exchange Commission (SEC)-registered public companies to directly issue stock on the blockchain. This initiative, named the Direct Issuance Program, enables companies to raise capital by selling newly minted, tokenized equity in exchange for stablecoins on Ethereum and Solana.
According to Superstate, investors will receive their tokenized shares instantly, with the firm”s SEC-registered transfer agent system updating shareholder records in real time. The first issuers are anticipated to launch next year, marking a significant shift in how public companies approach capital raising.
This development comes at a time when tokenization is rapidly gaining popularity among financial institutions and businesses looking to enhance operational efficiency through blockchain technology. In a recent interview, SEC Chairman Paul Atkins highlighted that tokenization has the potential to “reshape the financial system” in the coming years, indicating a regulatory environment increasingly receptive to blockchain as a foundational component of market infrastructure.
Superstate”s initiative reflects a departure from traditional capital-raising methods, which typically involve banks, underwriters, and extensive paperwork. Instead, this new model allows companies to accept investments directly into a crypto wallet, potentially reducing costs and eliminating delays associated with the conventional process.
“It”s time for a reset that better serves investors and smaller issuers, and makes clear that onchain capital raising should be possible without persistent uncertainty,” stated Superstate CEO Robert Leshner. He emphasized the necessity for primary issuance mechanisms that facilitate instant settlement, transparent participation, and inherent compliance.
The Direct Issuance Program is built upon Superstate”s earlier platform, Opening Bell, which focuses on tokenizing public equity. Notably, firms such as Galaxy Digital and Sharplink Gaming have already utilized this innovative system to issue tokenized versions of their stocks.
