The all-stock deal involved Nakamoto issuing approximately 364.8 million shares, totaling a value of about $81.6 million. With this acquisition, both BTC Inc., a prominent player in Bitcoin media, and UTXO, a specialized investment firm, become wholly owned subsidiaries of Nakamoto. This integration positions Nakamoto firmly across media, finance, and advisory sectors within the digital asset landscape.
BTC Inc. boasts a substantial global presence, generating $65.3 million in revenue and $26.5 million in net income for the 12 months ending September 2025. The company operates 27 media brands, including the esteemed Bitcoin Magazine, and is known for organizing The Bitcoin Conference, which attracted 67,000 attendees globally in 2025. Additionally, BTC Inc. runs the “Bitcoin for Corporations” platform, which assists companies in utilizing Bitcoin as a treasury asset and has maintained a five-year partnership with Strategy Inc.
On the other hand, UTXO enhances Nakamoto”s financial capabilities, serving as an adviser to the Bitcoin-focused hedge fund 210k Capital, LP. In the same reporting period, UTXO generated $18.2 million in revenue and $13.6 million in net income. Together, BTC Inc. and UTXO have generated over $80 million in revenue and $40 million in net income, providing a solid financial foundation for Nakamoto”s growth strategy focused on Bitcoin.
